I am upgrading from a 32 bit sql server to a new 64 bit server. I will be moving the same disk from the 32 bit machine to the new 64 bit machine.

Can I just detach the databaase, move the disk to the new server, and then attach the files to a new database?

Yes but make sure you backup all databases before you do that.

No you don't need to restore system database (master,msdb).

Well to resolve logins,jobs and packages issues you can do that. Search for Moving system databases in Booksonline.
