 Sudden issue with reindexing job

I have a sql 2005 enterprise edition 32 bit on a windows server 2003 sp2. Suddenly since the last week, everytime we run the re-indexing job, the memory is completely chewed up and never released. To the point that the server crashes. We cannot get to it using remote desktop or VMWare tools.

the other two important processes use the same memory. not sure if any of you have encountered such a problem.

At this point, we have no option but to reboot the server.
Any ideas help will be appreciated.

so sql is running on VMWare?

how much memory is allocated to the VM hosting SQL Server? What is max memory setting on SQL Server?

What do you mean by 2 other processes? What are they?

Also disable VMs ability to reorganize OS files

there is 4GB allocated to the VM.
currently i have provided 2.5GB to the SQL Server.
It used to be 3.5 GB for SQL server, but the server has two other services, W3P and another propreitory service.
They also tend to take a bit of memory.

I will talk to the System Admins about, disabling VM's ability to reorganize OS Files.
