use Enterprise Manager (2000) right click on the procedure - all task - Generate SQL ScriptSQL Server Management Studio (2005) right click on the procedure - script stored procedure as ...

then just select all the stored procedure - All Tasks - GENERATE SQL SCRIPT . . .
